These Terms and Conditions are available in English and Spanish. In the event of any discrepancy between both versions, the Spanish version shall prevail, unless applicable law requires otherwise. TERMS AND CONDITIONS OF USE OF ALUSYSTEM SOFTWARE

1.- Description and Acceptance of Terms.
These Terms and Conditions govern the legal relationship between SAINKA TECH LLC, a Delaware limited liability company, as the operator of Alusystem Software, with business address at 8 The Green Ste R, Dover, Delaware, 19901, United States of America, and the CLIENT, when the CLIENT registers, contracts, downloads, installs, accesses, or uses the PLATFORM. By registering, contracting, downloading, installing, accessing, or using the PLATFORM, the CLIENT acknowledges that they have read, understood, and accepted these Terms and Conditions, and agrees to comply with all applicable rules and laws regarding the use of the Platform, intellectual property, confidential information, and any other content available through the Platform.
2.- Definitions.
2.1.- CLIENT
Refers to the individual or legal entity that contracts, accesses, or uses the Platform, as well as any user authorized by such individual or legal entity to use the Platform.
2.2.- SAINKA TECH LLC
Refers to the Delaware limited liability company, United States of America, that owns, operates, holds rights to, and licenses Alusystem Software.
2.3.- ALUSYSTEM SOFTWARE
Refers to the software product operated by SAINKA TECH LLC.
2.4.- PLATFORM
Refers to the web-based software, system, or authorized installation accessible through the internet or other authorized means, intended for generating quotes for materials and installation of aluminum and tempered glass windows, doors, railings, and related products or services for third parties.
2.5.- SERVICES
Refers to the Platform and any services, functions, tools, features, or benefits derived from it.
2.6.- SUBSCRIPTION
Refers to the specific paid service arrangement maintained by the Client with SAINKA TECH LLC for the use of the Platform.
2.7.- PACKAGES
Refers to the different subscription plans available within the Platform, which may vary by supplier catalogs, materials, features, authorized users, authorized devices, or commercial conditions.
2.8.- SUPPLIERS
Refers to any brand, manufacturer, or supplier unrelated to SAINKA TECH LLC that may appear in any catalog, database, reference, package, or feature available within the Platform.
2.9.- ACCOUNT
Refers to the Client’s or User’s profile, login, access credentials, or control panel used to access, contract, manage, or use the services available through the Platform.
2.10.- USER
Refers to any person who uses the Client’s account or accesses the Platform through the Client’s credentials, whether directly or indirectly authorized by the Client.
3.- What is Alusystem Software?
Alusystem Software is a software platform operated by SAINKA TECH LLC that allows the Client and/or User, through a subscription, to generate quotes for materials and installation of aluminum and tempered glass windows, doors, railings, and related products or services for third parties. Through configurable sections within the Platform, the Client may determine and modify different cost variables, suppliers, materials, measurements, and commercial conditions to generate customized quotes.
4.- Registration.
4.1.- By registering a user account, accepting these Terms and Conditions, and accepting the corresponding Privacy Notice, the Client may access a control panel that allows the Client to contract and manage available subscription packages and, once subscribed, use the Platform according to the contracted package.
4.2.- The information requested during user registration and, in general, for the use of the Platform, shall be processed according to the Privacy Notice of SAINKA TECH LLC and shall be requested only to the extent necessary to provide the services.
4.3.- The Client represents that all information provided during registration is true, complete, updated, and verifiable. If the Client or User provides false, inaccurate, incomplete, or suspicious information, SAINKA TECH LLC may suspend, limit, or cancel access to the Platform.
5.- Service Availability.
5.1.- SAINKA TECH LLC states that services, features, catalogs, suppliers, and packages available within the Platform may vary from one subscription period to another. SAINKA TECH LLC will make reasonable efforts to respect the services already contracted by the Client during the applicable subscription term, subject to the limitations of liability set forth in these Terms and Conditions.
5.2.- SAINKA TECH LLC reserves the right to determine, at any time, the packages, features, catalogs, suppliers, and commercial conditions that form part of the services offered through the Platform. SAINKA TECH LLC may add new services, modify existing services, or discontinue certain services, while reasonably respecting the conditions contracted by the Client during the term of the active subscription.
5.3.- The Client acknowledges that certain catalogs, brands, materials, prices, images, suppliers, or references available within the Platform may correspond to third parties unrelated to SAINKA TECH LLC. Therefore, SAINKA TECH LLC shall not be responsible for changes, errors, lack of availability, discontinuation, or modifications made by such third parties.
6.- Technical Requirements.
6.1.- The Platform may require a stable internet connection, an updated browser, a compatible operating system, sufficient device capacity, and, where applicable, authorized installation on the corresponding device.
6.2.- In general, the Platform may be compatible with Windows systems and modern browsers; however, it may not function properly on outdated versions, devices without sufficient capacity, restricted configurations, unstable networks, or unsupported devices.
6.3.- For additional information regarding the technical requirements of the Platform, the Client may contact SAINKA TECH LLC at admin@alusystemsoftware.com.
6.4.- When the contracted package limits the use of the Platform to a specific number of devices, users, or accesses, the Client must comply with such conditions. Use of the Platform on unauthorized devices, users, or accesses may result in suspension or cancellation of the account.
7.- Purchase and Subscription Process.
7.1.- To contract a subscription package, the Client must

1.1.- Access the Alusystem Software Platform.

1.2.- Be of legal age or have sufficient legal capacity to contract.

1.3.- Register an account in the Platform.

1.4.- Accept these Terms and Conditions and the corresponding Privacy Notice.

1.5.- Select the desired subscription package.
7.
1.6.- Provide the required payment information through the available payment gateway and accept the corresponding transaction.
7.2.- SAINKA TECH LLC may reject, suspend, or cancel a subscription when there are reasonable grounds to believe that the information provided is false, inaccurate, incomplete, fraudulent, or contrary to these Terms and Conditions.
7.3.- After the term of the contracted package has expired, the subscription may renew automatically if the Client accepted automatic renewal at the time of contracting or through the applicable payment configuration. The Client may request suspension or cancellation of the subscription under the applicable conditions.
7.4.- Cancellation of a subscription prevents future renewals but does not necessarily imply a refund of payments already made, unless SAINKA TECH LLC determines otherwise or applicable law requires otherwise.
8.- Subscription Packages.
8.1.- The Client may subscribe to any of the packages available in the Platform. In general, subscriptions may be paid monthly and shall have a term of 30 calendar days counted from the date of contracting and payment, unless a different term is indicated at the time of contracting.
8.2.- Differences between packages may include, among other aspects, the availability of suppliers, catalogs, materials, features, configurations, authorized users, permitted devices, or additional tools.
8.3.- The specific information of each package, including price, features, limitations, and applicable conditions, shall be displayed in the Platform or communicated to the Client through available means.
8.4.- Prices may include or show applicable taxes when required, depending on the applicable jurisdiction and the country from which the subscription is contracted.
9.- Payment Methods.
9.1.- SAINKA TECH LLC may use external payment gateways or payment processors unrelated to SAINKA TECH LLC to process subscription payments. In such case, the Client accepts that the terms, conditions, policies, and privacy notices of such payment gateways or processors may also apply.
9.2.- Available payment methods may vary depending on the payment gateway used, the Client’s country, currency, contracted package, or technical and commercial conditions in effect at the time of subscription.
9.3.- In case of failures, rejections, unauthorized charges, processing errors, or any other payment-related incident, the Client may contact SAINKA TECH LLC at admin@alusystemsoftware.com to request support in reviewing the case. Notwithstanding the foregoing, when payment processing depends on an external gateway, issuing bank, card network, or other third party, SAINKA TECH LLC shall not be responsible for causes beyond its reasonable control.
9.4.- The Client represents, under oath, that the funds used to cover any payment related to the Platform come from lawful sources and do not derive directly or indirectly from illegal activities, money laundering, or any other activity prohibited by applicable law.
10.- Access and Account Use.
10.1.- Once registration is completed and the corresponding payment is confirmed, the Client may access the services included in the contracted package.
10.2.- Each subscription is individual to the Client and must be used according to the conditions of the contracted package. The Client may not resell, sublicense, share, commercially exploit, or transfer access to the Platform without prior written authorization from SAINKA TECH LLC.
10.3.- The Client is responsible for safeguarding access credentials, email accounts, passwords, authorized devices, and any other authentication method linked to the account.
11.- Acceptable Use Policies.
11.1.- Compliance with Terms of Use. By accessing or using the Platform, the Client and/or User assumes responsibility for complying with these Terms and Conditions, as well as any policy, notice, or rule of use published or communicated by SAINKA TECH LLC. SAINKA TECH LLC reserves the right to temporarily or permanently suspend access to the Platform when there is a breach of these Terms and Conditions, misuse of the account, acts affecting the security of the Platform, or conduct that harms the experience of other users, clients, or third parties.
11.2.- Clarification in Case of Suspension. In case of account suspension, the Client may request clarification by contacting admin@alusystemsoftware.com within 15 business days following the suspension. SAINKA TECH LLC will review the request and will make reasonable efforts to respond within 15 business days. This period may be extended when the case requires additional technical, administrative, legal, or security review.
11.3.- Prohibited Uses. The Platform may not be used to upload, transmit, store, process, or request unlawful, fraudulent, offensive, discriminatory, defamatory, privacy-invasive, or dignity-violating information, quotes, products, or services, or any content prohibited by applicable law. The Platform may not be used for activities related to pornography, sexual exploitation, threats, violence, promotion of crime, self-harm, suicide, public health or safety risks, infringement of intellectual property, breach of confidentiality agreements, breach of commercial exclusivity agreements, or any other unlawful activity.
11.4.- Spam and Malicious Content. The Client and/or User shall not use the Platform to upload, transmit, or distribute spam, unsolicited messages, viruses, trojans, worms, malware, ransomware, spyware, or any other malicious or harmful component.
11.5.- Identity. Impersonation is prohibited. The Client and/or User may not contract the Platform, create accounts, use third-party information without authorization, or engage in any conduct intended to represent an individual or legal entity without consent.
11.6.- Responsibility for Third Parties. The Client accepts responsibility for any person who uses the Client’s account, with or without authorization, to the extent that such use derives from the handling, safeguarding, or lack of protection of the Client’s credentials, devices, or access methods. The Client agrees to hold harmless SAINKA TECH LLC, its officers, collaborators, suppliers, licensors, and representatives from any claims, damages, losses, expenses, liabilities, or costs derived from the misuse of the Client’s account, except when such damages are directly attributable to willful misconduct by SAINKA TECH LLC.
11.7.- Legitimate Use of the Service. Any act intended to reverse engineer, hack, dismantle, interfere with, modify, copy, extract, translate without authorization, alter features, alter functionalities, affect integrity, or impair the performance of the Platform is prohibited. Any attempt to gain unauthorized access to the Platform, its servers, databases, related systems, security mechanisms, protection software, catalogs, other users’ accounts, or any technological component related to the Platform is also prohibited.
11.8.- Security Violations.

8.1.- Notification. The Client shall notify SAINKA TECH LLC within a reasonable period of time and preferably within 24 hours after becoming aware of any suspected or confirmed security violation related to the Client’s account, password, authorized device, registered information, or use of the Platform. The notification shall be sent to admin@alusystemsoftware.com.

8.2.- Appropriate Safeguards. SAINKA TECH LLC will implement reasonable measures to protect personal data and information provided by the Client. However, no digital, physical, or administrative security measure can guarantee absolute impenetrability of the Platform or the complete absence of failures. To the maximum extent permitted by applicable law, SAINKA TECH LLC shall not be liable for indirect, incidental, consequential, special damages, loss of information, loss of income, loss of opportunities, business interruptions, or damages arising from security failures, except where direct liability is legally attributable to SAINKA TECH LLC.
11.
8.3.- Failures Beyond the Control of SAINKA TECH LLC. Any person using the Platform is responsible for having the services, equipment, internet connection, browser, operating system, permissions, and configurations necessary to properly access and use the Platform. SAINKA TECH LLC shall not be responsible for service interruptions, connection errors, lack of availability, slowness, blocks, network restrictions, internet failures, telecommunications provider failures, power failures, Client device failures, viruses on the Client’s device, use of outdated software, or any other cause beyond the reasonable control of SAINKA TECH LLC.
11.9.- Protection Against Copying and Improper Competitive Use. The Client agrees not to use the Platform, its design, operation, images, catalogs, databases, workflows, configurations, documentation, business logic, confidential information, or any protected element to copy, reproduce, develop, train, commercialize, or improve a competing product or service. This obligation does not prevent the Client from carrying out its own lawful business activities, provided that the Client does not misuse protected, confidential, or non-public elements of Alusystem Software or SAINKA TECH LLC.
11.10.- Limitation of Liability and Indemnification. Any person who accesses, uses, downloads, installs, or browses the Platform agrees to indemnify and hold harmless SAINKA TECH LLC, its officers, collaborators, representatives, suppliers, and licensors from any liability, damage, loss, claim, expense, or cost derived from misuse of the Platform, breach of these Terms and Conditions, unauthorized account use, infringement of third-party rights, or unlawful conduct attributable to the Client or its Users.
11.11.- Acceptance of Terms and Privacy Notice. The Client acknowledges having read and accepted these Terms and Conditions and the Privacy Notice of SAINKA TECH LLC.
12.- License and Intellectual Property.
12.1.- The Client acknowledges that SAINKA TECH LLC owns or is an authorized licensee of copyrights, trademarks, trade names, designs, images, databases, catalogs, code, documentation, processes, features, and other protected elements related to Alusystem Software and the Platform.
12.2.- License of Use. Access, registration, and use of the Platform grant the Client a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Platform according to these Terms and Conditions and only during the term of the corresponding subscription. This license does not grant permission to lease, rent, transfer, resell, sublicense, copy, reproduce, modify, distribute, exploit, or use all or part of the Platform, its distinctive signs, images, designs, functions, databases, content, user accounts, records, or any component protected by intellectual property rights. Violation of this provision may result in suspension or permanent cancellation of the account, without prejudice to any legal actions that may correspond to SAINKA TECH LLC.
12.3.- The Client does not acquire any ownership rights over the Platform, software, trademark, code, images, design, catalogs, databases, documentation, or any other intellectual asset of SAINKA TECH LLC by contracting, paying for, accessing, or using the Platform.
13.- Personal Data.
13.1.- SAINKA TECH LLC shall be responsible for the processing of personal data voluntarily collected in connection with the use of the Platform, payments, support procedures, complaints, clarifications, data rights requests, or any other contact or information collection method, according to its Privacy Notice.
13.2.- The Client agrees not to enter, share, or transmit sensitive personal data through the Platform or through the contact channels of SAINKA TECH LLC, unless strictly necessary and expressly authorized.
13.3.- The Client shall be responsible for the information provided by its Users and/or through any user account, email address, or phone number linked to the Client.
13.4.- SAINKA TECH LLC reserves the right to suspend or cancel the Client’s account when misuse of personal data, unauthorized processing of third-party information, or breach of the Privacy Notice is detected.
14.- Technical Support.
14.1.- The Client may contact admin@alusystemsoftware.com for questions, technical support requests, failure reports, or complaints related to the Platform.
14.2.- SAINKA TECH LLC will receive and review the corresponding request and will make reasonable efforts to respond within a reasonable period, which may be up to 15 business days depending on the complexity of the case.
14.3.- The obligation to respond to a support request, clarification, or complaint does not imply an obligation to accept, grant, or resolve in favor of the Client any request contained in such communication.
14.4.- SAINKA TECH LLC reserves the right to determine, according to its technical, commercial, and legal criteria, the applicable solution for each case.
15.- Modifications to the Terms and Conditions.
15.1.- SAINKA TECH LLC may modify these Terms and Conditions and its Privacy Notice when necessary to improve services, comply with legal obligations, update features, correct errors, reflect operational changes, or adjust commercial policies.
15.2.- Relevant changes will be communicated to the Client through reasonable means, such as publication in the Platform, notice within the system, email, or any other registered contact method.
15.3.- Continued use of the Platform after the effective date of the changes shall imply acceptance of the updated Terms and Conditions. If the Client does not agree, the Client may request account cancellation or stop using the Platform.
15.4.- SAINKA TECH LLC may carry out updates, modifications, adjustments, improvements, or removal of information contained in the Platform, its configuration, presentation, features, and access conditions, without assuming liability for such changes, provided that such modifications do not unjustifiably affect an active subscription.
15.5.- SAINKA TECH LLC does not guarantee the absolute absence of interruptions, errors, disconnections, or lack of updates in the Platform. However, SAINKA TECH LLC will make reasonable efforts to correct errors, restore services, or update content when it becomes aware of such situations.
16.- Account Cancellation.
16.1.- The Client may request cancellation of the Client’s account in the Platform at any time.
16.2.- Account cancellation does not automatically imply the immediate deletion of all associated information, unless expressly requested by the Client and provided that such deletion is permitted under the Privacy Notice and applicable legal, tax, accounting, contractual, or security obligations.
16.3.- Account cancellation does not release the Client from pending payment obligations, liabilities for misuse of the Platform, or breaches that occurred during the term of the subscription.
17.- Term.
17.1.- These Terms and Conditions shall remain in effect for as long as the Client uses the Platform, maintains an active account, or has an active subscription.
17.2.- Provisions related to confidentiality, intellectual property, limitation of liability, indemnification, protection against copying, personal data, and jurisdiction shall survive termination of the account or subscription for the period permitted by applicable law.
18.- Force Majeure.
18.1.- SAINKA TECH LLC shall not be obligated to comply with obligations under these Terms and Conditions when such non-compliance derives from force majeure or events beyond its reasonable control, including, without limitation, natural disasters, fires, vandalism, war, acts of terrorism, widespread internet failures, interruption of third-party services, acts of authority, express court orders, governmental restrictions, power failures, or any other event beyond the reasonable control of SAINKA TECH LLC.
19.- Nature of the Relationship.
19.1.- The download, access, creation of an account, subscription, installation, or use of the Platform under these Terms and Conditions does not create an employment relationship, partnership, franchise, mandate, agency, representation, joint venture, association, or any relationship other than the one expressly established in these Terms and Conditions.
19.2.- Each party shall be responsible for its own tax, administrative, labor, accounting, and legal obligations under the laws applicable to each party.
20.- Governing Law and Jurisdiction.
20.1.- Any dispute, claim, or legal proceeding arising from the access, subscription, use, operation, payment, or termination of the Platform under these Terms and Conditions shall be governed by the laws of the State of Delaware, United States of America.
20.2.- The Client agrees to submit to the jurisdiction of the competent courts of the State of Delaware, United States of America, expressly waiving any other jurisdiction that may correspond to the Client due to present or future domicile, unless applicable law provides otherwise.
